Terms & Conditions

Effective Date: July 1, 2024

1. Acceptance of Terms

By using Larch Technologies' ERP software, you agree to be bound by these terms. If you do not agree, please do not use our services.

2. License to Use

You are granted a non-transferable, non-exclusive license to use the software solely for your organisation's internal business purposes in accordance with your subscription agreement.

3. User Responsibilities

You must ensure the confidentiality of your login credentials.
You are responsible for the accuracy of data you input into the system.
You must notify us immediately of any suspected unauthorised access.

4. Restrictions

No resale, redistribution, or reverse engineering of the software.
You may not use the software to develop a competing product.
You may not remove any proprietary notices or branding within the platform.

5. Limitation of Liability

Larch Technologies shall not be liable for indirect or incidental damages resulting from software use. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

6. Support & Maintenance

Support is provided per your SLA — including bug fixes, patches, and technical assistance during business hours (Monday–Friday, 9 AM–6 PM IST).

7. Intellectual Property

All intellectual property rights in the software remain the exclusive property of Larch Technologies Pvt. Ltd. No rights are granted beyond the limited license described above.

8. Termination

Either party may terminate the agreement with written notice. Larch Technologies may immediately suspend access in the event of a material breach or non-payment.

9. Governing Law

These terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu.
